Establishing your business in the Kingdom of Saudi Arabia

If you already own a business in your home country and want to invest in and set up a company in Saudi Arabia, FFD can manage the entire process for you through its legal and law-firm arm, from the investment licence to day-one operations.

Part one: company establishment

Limited liability company (LLC), more than one partner, under the Foreign Investment Law, industrial licence.

  1. Investment licenceApply to the Ministry of Investment for a licence under the Foreign Investment Law.
  2. IncorporationSubmit and review the incorporation application with the Ministry of Commerce.
  3. Capital approvalCapital is deposited in a Saudi bank within 90 days of the Commercial Registration.
  4. Commercial RegistrationObtain the company's Commercial Registration (CR).
  5. Chamber of CommerceRegister the company with the Chamber of Commerce.

Part two: getting ready to operate

Once the Commercial Registration is issued.

  1. Open a file with the Ministry of Human Resources and Social Development (Labour Office)
  2. Register with the General Organization for Social Insurance (GOSI)
  3. Open a file with the Zakat, Tax and Customs Authority
  4. Register the National Address
  5. Register on the Qiwa and Mudad platforms
  6. Trademark registration
  7. Add your authorised signatory to activate subscriptions, with the option to grant the same authority to third parties

Some of these services are subject to government fees, which we will confirm with you in advance.

Company management

Tell us how you want the company to be managed. We will coordinate the management authorities to be granted before all government entities, including banks and chambers of commerce.

Licence obligations and investor rights

Conditions and obligations after the licence is issued

The licence applicant(s) or establishment must:

  1. Complete all post-licence procedures and obtain every licence required for the activity within three (3) months of the investment licence being issued. If obstacles arise, notify the Ministry of Investment in writing at least three months before the activity start date.
  2. Carry out only the licensed investment activity.
  3. Implement the project at the specified location and within the approved timeline.
  4. Use the establishment's official name, as stated in the investment licence, in all dealings and publications.
  5. Renew the investment licence before it expires.
  6. Receive Ministry of Investment inspectors, cooperate with them and provide all requested documents and data.
  7. Not produce or market any product other than those licensed.
  8. Respect intellectual property rights.
  9. Take the necessary measures to protect the environment.
  10. Comply with all laws, regulations and instructions issued by the relevant authorities, and require employees to do the same.
  11. Notify the Ministry of Investment in writing of any change of address, PO Box, email, telephone or fax number within 10 working days.
  12. Pay licensing and investor-relations service fees for the full licence period; no refund is due if the licence is cancelled or the activity ceases.
Investor declarations and undertakings

The investor(s) declare and undertake that:

  • They comply with all provisions of the Foreign Investment Law, issued by Royal Decree No. (M/1) dated 05/01/1421H, and its Executive Regulations.
  • All documents, data and information submitted are accurate and correct.
  • The investment licence will be used only for its licensed purposes.
  • The Government of the Kingdom of Saudi Arabia and the Ministry of Investment bear no liability towards third parties for any unlawful acts.
  • The Ministry of Investment may revoke the licence in the event of future legal violations or security risks.
  • The purpose of the licence is to carry out genuine investment activity.
  • No final judgments have been issued against them for major violations of the Foreign Investment Law.
  • They have no prior convictions for financial or commercial violations, in the Kingdom or abroad.
  • Capital will be transferred to the Kingdom after the investment licence is issued.
  • They are not resident in the Kingdom at the time of application and have not resided there during the previous three years.
  • They have read, understood and agreed to all terms, conditions, declarations and undertakings.
Rights of the foreign investor during the licence period
  1. Enjoy all incentives, guarantees and benefits granted to national projects.
  2. Renew the licence.
  3. Be granted a grace period to rectify violations.
  4. Respond to written violation notices.
  5. Own real estate in accordance with applicable laws.
  6. Be protected from confiscation or expropriation, except by judicial ruling, in the public interest and against compensation.
  7. Sponsor the establishment's non-Saudi employees.
  8. Transfer abroad the proceeds from the sale of shares, any liquidation surplus and profits.
  9. Respond to requests to amend the licence.
  10. Receive justified reasons for any rejection.
  11. Submit inquiries and complaints.
Real estate ownership

Licensed establishments may own real estate as needed, including:

  • Residential property
  • Headquarters for industrial facilities
  • Administrative offices and employee housing
  • Warehouses and marketing centres
